Agreement to our legal terms

Saypoint is an Android app published by SPARCPOINT, LLC, doing business as Sparcpoint ("Sparcpoint", "we", "us", "our"), 3608 Rockwood Drive, Fort Wayne, IN 46815, United States. These terms are a binding agreement between you, whether personally or for an entity ("you"), and Sparcpoint about your use of the Saypoint app, its server, and this website (together, the "Services").

By using the Services, you agree to these terms. If you do not agree, do not use them.

If we change these terms, we update this page and the dates at the top. If you keep using Saypoint after a change takes effect, you accept the new terms. We recommend that you keep a copy of these terms for your records.

Who may use Saypoint

Saypoint is for people aged 13 or older. If you are under 18, or a minor where you live, you may use it only with the permission and supervision of a parent or guardian, who must read and agree to these terms first. By using Saypoint you confirm that you meet these conditions, that you have the legal capacity to agree to these terms, and that your use will not break any law.

Saypoint is not built for uses that law regulates in particular ways, such as health records covered by HIPAA or financial information covered by the Gramm-Leach-Bliley Act. Do not use it for those.

The app is provided as is

Saypoint and the Services are provided "as is" and "as available", without any promise that they will meet your needs or work without fault, and you use them at your own risk. To the fullest extent the law allows, we disclaim all warranties, express or implied, including those of merchantability, fitness for a particular purpose and non-infringement. We are not responsible for errors, interruptions, bugs, viruses or unauthorized access to our servers, or for any loss from using the Services.

Your account

Recording, transcription and your lists work without signing in. To have AI sort and tidy what you say, you sign in with Google, which creates your Saypoint account. You are responsible for what happens under your account and for keeping your Google sign-in secure. Any information you give us, including a contact address, must be true, accurate and current.

Buying minutes

AI runs use minutes. You buy minutes in the app through Google Play, and Google Play handles the payment, taxes and receipts. Google Play's terms also apply to your purchase. Refunds follow Google Play's refund policy. Prices are shown in Google Play and may change. We may correct pricing errors, and we may refuse or limit a purchase that we reasonably believe is abusive or fraudulent.

Free minutes

A new account gets 25 free minutes, once per Google account, after you confirm your email. If you delete your account and create it again, the free minutes are not restored.

AI output

AI sorts and tidies what you say, and it can misunderstand you. Its output may be wrong. Check anything that matters before you rely on it. We do not guarantee the accuracy or completeness of any transcript, title, list or other AI output.

Your recordings and notes

Your notes, recordings and lists are yours. We claim no ownership of them. When you turn AI on, you allow us, and the service providers described in our privacy policy, to process your recording, its words and the list details the AI needs, only to answer your request. Our privacy policy says what is kept and for how long.

You are responsible for what you record. You confirm that you have every right and consent needed to record and process it, including the consent of the people you record where the law requires it. Saypoint does not announce itself to the people around you.

Our intellectual property

We own, or license, all intellectual property in the Services, including the app, its source code, software, designs, text, graphics, and the Saypoint and Sparcpoint names and logos (together, the "Content" and "Marks"). They are protected by copyright, trademark and other laws in the United States and around the world.

Subject to these terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Saypoint app on your own devices for your own use. Except as these terms allow, you may not copy, reproduce, republish, distribute, sell, license or otherwise exploit the Services, the Content or the Marks without our written permission. We reserve all rights not expressly granted. Any breach of this section is a material breach, and your right to use the Services ends immediately.

If you send us a question, comment, suggestion, idea or other feedback about the Services, you assign to us all rights in it, and we may use it for any lawful purpose without acknowledgement or payment. This does not apply to your recordings, notes or lists.

Acceptable use

Use Saypoint lawfully, and only for what it is made for. You agree not to:

Third-party services

Saypoint relies on services we do not run, such as Google sign-in and Google Play billing, and AI providers. Your dealings with them are governed by their own terms. We are not responsible for them, and we do not guarantee that they will stay available.

Managing the Services

We may, but need not, monitor the Services for breaches of these terms, take legal action against anyone who breaks the law or these terms, including reporting them to law enforcement, and otherwise manage the Services to protect our rights and property and keep them working.

Privacy

Our privacy policy is part of these terms. By using the Services, you agree to it. The Services are hosted in the United States. If you use them from elsewhere, you understand that your data is processed there.

We do not knowingly collect personal information from anyone under 13. If we learn that we have, we will delete it as soon as is reasonably practical.

Deleting your account

You can delete your account at any time, in the app or by email. Deleting it forfeits any remaining paid balance. Your notes and recordings stay on your phone.

Term and termination

These terms apply while you use the Services. We may suspend or end your access, or delete your account, if you break these terms or the law, or to protect the Services or other people, and we may do so without notice. If we do, any remaining paid balance may be forfeited, and you may not create a new account to get around it. We may also take legal action. Recording, transcription and your lists on your phone do not depend on your account.

Changes and interruptions

We may change, suspend or stop any part of the Services at any time. We cannot promise they will always be available: maintenance, outages and other problems happen. We are not liable for any loss, damage or inconvenience from a change, price change, interruption or stop. Nothing in these terms obliges us to keep supporting the Services or to release updates.

Governing law

These terms are governed by the laws of the State of Indiana, applied to agreements made and performed entirely in the State of Indiana, without regard to its conflict of law principles.

Dispute resolution

Informal negotiation. Before either of us starts arbitration over a dispute, controversy or claim about these terms or the Services (a "Dispute"), we agree to try to settle it informally for at least thirty (30) days. That period starts when one of us sends the other written notice, to the address in the Contact section for us and to the contact address on your account for you.

Binding arbitration. If we cannot settle a Dispute informally, it will be settled finally and only by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA) and, where they apply, its Supplementary Procedures for Consumer Related Disputes. YOU UNDERSTAND THAT WITHOUT THIS SECTION YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. Your arbitration fees and your share of the arbitrator's compensation are governed by those rules, and if the arbitrator finds them excessive, we will pay all arbitration fees and expenses. The arbitration may be held in person, by documents, by phone or online, and, unless the rules or the law require otherwise, in Allen County, Indiana. The arbitrator must follow applicable law and will give a written decision. Either of us may go to court to compel arbitration, to stay a case pending arbitration, or to confirm, change or set aside the award.

Individual claims only. To the fullest extent the law allows, no arbitration may be joined with another, no Dispute may be arbitrated as a class action, and no Dispute may be brought on behalf of the public or any other person.

Exceptions. Informal negotiation and arbitration do not apply to: (a) a Dispute that seeks to enforce or protect, or concerns the validity of, a party's intellectual property rights; (b) a Dispute about theft, piracy, invasion of privacy or unauthorized use; or (c) a claim for an injunction. If any part of this section is found unenforceable, neither of us will arbitrate the Dispute within that part, and a court will decide it.

Courts and time limit. If a Dispute goes to court instead of arbitration, it must be brought in the state or federal courts in Allen County, Indiana, and we both consent to those courts and give up objections to their jurisdiction and venue. No Dispute may be started more than one (1) year after the cause of action arose. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply to these terms.

Nothing in this section takes away a right you have under the law that cannot be waived.

Corrections

The Services may contain typing mistakes, inaccuracies or omissions, including in descriptions and prices. We may correct them and update information at any time, without notice.

Limits on our liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE AND OUR DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN TOLD THEY MAY HAPPEN. OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE, WHATEVER THE FORM OF THE CLAIM, WILL NEVER BE MORE THAN THE AMOUNT YOU PAID US, IF ANY, IN THE SIX (6) MONTHS BEFORE THE CAUSE OF ACTION AROSE.

Some laws do not allow limits on implied warranties or the exclusion of certain damages. If those laws apply to you, some of the limits above may not apply to you, and you may have other rights.

Indemnification

You agree to defend, indemnify and hold us harmless, along with our affiliates and our and their officers, agents, partners and employees, from any loss, damage, liability, claim or demand, including reasonable attorneys' fees, made by a third party because of: your use of the Services; what you record or process with them; your breach of these terms or of your promises in them; or your violation of a third party's rights, including intellectual property and privacy rights. We may, at your expense, take over the defence of any matter you must indemnify us for, and you agree to cooperate. We will try to tell you promptly about any such claim.

Your data

Your notes and recordings live on your phone, and you are responsible for keeping your own copies. We are not liable for any loss or corruption of data on your device, including if you uninstall the app or lose the phone. Our privacy policy says what we keep on our server. Although we make routine backups of that data, we are not liable for its loss or corruption.

Electronic communications

Using the Services, emailing us and completing forms are electronic communications. You consent to receive notices and other communications from us electronically, by email or on the Services, and you agree that they satisfy any requirement that a communication be in writing. You agree to electronic signatures, contracts and records, and you waive any right to an original signature or to non-electronic records or payments, to the extent the law allows.

California users

If a complaint to us is not resolved to your satisfaction, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

General

These terms, with our privacy policy, are the entire agreement between you and us about the Services. If we do not enforce a right or provision, that is not a waiver of it. If a provision is found unlawful or unenforceable, it is severed and the rest stays in force. You may not assign these terms; we may assign ours at any time. We are not liable for any delay or failure caused by something beyond our reasonable control. These terms create no joint venture, partnership, employment or agency between you and us, and they will not be read against us because we wrote them. You waive any defence based on these terms being in electronic form or not signed.
